Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Client", "you", "your") and Voicommerce ("Voicommerce", "we", "our", or "us"), the operator of the Voicommerce website, merchant dashboard, and AI chat and voice assistant widget (together, the "Service").

By creating an account, embedding the widget, or otherwise accessing the Service, you agree to these Terms and to our Privacy Notice and Refund Policy. If you do not agree, do not use the Service.

• Age & capacity: you must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a contract.
• Authority: if you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
• Accurate information: you agree to provide accurate registration and billing details and to keep them up to date.
• Credential security: you are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately of any suspected unauthorised access.

Voicommerce provides an AI-powered chat and voice assistant that merchants can configure and embed on their own website. The Service includes a merchant dashboard, a website scanner, knowledge upload, live inbox, automations, and analytics, subject to the limits of your chosen plan.

We continuously improve the Service and may add, modify, or remove features over time. We do not guarantee uninterrupted, error-free, or timely operation. Scheduled maintenance and third-party outages may temporarily affect availability.

Subject to these Terms and your payment of applicable fees, Voicommerce grants you a limited, non-exclusive, non-transferable, revocable licence to embed the Voicommerce widget on websites you own or control, and to use the dashboard within the limits of your plan.

• Site scanner: by installing the widget you authorise Voicommerce to programmatically crawl, index, and parse the public contents of the sites on which the widget is deployed, in order to build and maintain your assistant's knowledge base.
• Uploaded content: documents, product data, and other materials you upload remain your intellectual property. You represent and warrant that you have all rights necessary to upload and process that content through the Service.
• Restrictions: you may not reverse-engineer, decompile, sublicense, resell, or redistribute the Service, circumvent usage limits, or scrape the dashboard.
• Voicommerce IP: the Service, including its software, models, templates, and branding, is and remains the exclusive property of Voicommerce.

You agree not to use the Service to:

• Violate any law or regulation, or infringe the rights of others.
• Send spam, engage in fraud, or facilitate money laundering, sanctions evasion, or other financial crime.
• Upload, generate, or distribute malware, harmful code, or exploits.
• Publish or generate hate speech, harassment, sexual content involving minors, or content that promotes violence or self-harm.
• Deploy the widget on sites offering pirated content, weapons, controlled substances, gambling in restricted jurisdictions, or other categories prohibited by our Merchant of Record.
• Attempt to interfere with the security or integrity of the Service, probe our infrastructure, or bypass rate limits or access controls.
• Use the Service to build or train a competing product.

The Service generates responses automatically from content you provide (uploaded documents and scanned website pages) and from the visitor's prompt. AI outputs can be inaccurate, incomplete, or out of date, and must not be relied on as legal, medical, financial, or other regulated professional advice without independent verification and appropriate human oversight.

• Your responsibility as merchant: you are responsible for the accuracy of the knowledge you upload, the prompts you configure, and how you use or publish the outputs. You must have all rights necessary to the inputs you provide.
• Prohibited outputs: you agree not to use the Service to generate content that is illegal, defamatory, deceptive, discriminatory, sexually exploitative, or that impersonates real individuals without consent, and not to attempt to jailbreak or bypass safety controls.
• Rights complaints & takedown: if you believe content generated or served through Voicommerce infringes your rights, contact support@voicommerce.com. We review complaints promptly, may remove or restrict the content, and may terminate accounts of repeat infringers.
• Moderation rights: we may remove or restrict content, refuse or filter specific outputs, and suspend accounts that violate these Terms or that put the safety or reputation of the Service at risk.

Access to paid features requires an active subscription or top-up purchase. Fees, billing cycles, plan limits, and any applicable taxes are shown at checkout and in your dashboard.

• Payment terms: payments, billing frequency, invoicing, taxes, currency conversion, and cancellation mechanics are governed by Paddle's Buyer Terms. Voicommerce does not directly receive or store your card or bank details.
• Auto-renewal: subscriptions renew automatically at the end of each billing cycle at the then-current price for your plan until cancelled from your dashboard.
• Usage metering: monthly quotas (chat messages, voice minutes, seats, files, etc.) reset at the start of each billing cycle and do not roll over.
• Localised pricing: where regional pricing is offered, it is intended for merchants genuinely based in that region and may not be circumvented (for example, by masking your location).
• Refunds: handled under our Refund Policy, in coordination with Paddle.
• Failed payments: we may suspend or downgrade the Service for accounts with overdue or failed payments after reasonable notice.

You may cancel your subscription at any time from your dashboard. Access to paid features continues until the end of the current paid period.

We may suspend or terminate your access, with or without notice, if:

• you materially breach these Terms and fail to cure the breach within a reasonable period after notice;
• you fail to pay fees when due;
• your use poses a security, legal, fraud, or reputational risk to Voicommerce, our providers, or other customers; or
• you repeatedly or seriously violate our Acceptable Use rules.

On termination, licences granted to you cease and you must remove the Voicommerce script from your websites. We provide a reasonable window for you to export your data before it is deleted from active systems in line with our Privacy Notice.

The Service is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Voicommerce disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, timely, secure, error-free, or produce specific commercial results.

To the fullest extent permitted by law, Voicommerce and its personnel and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Service.

Our aggregate liability for all claims arising out of or related to these Terms is capped at the total fees you paid to Voicommerce (via Paddle) for the Service in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death or personal injury caused by negligence.

You agree to defend, indemnify, and hold harmless Voicommerce and its personnel from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• content you upload, generate through the Service, or publish using the Service;
• your breach of these Terms or of applicable law; or
• your infringement or misappropriation of the rights of any third party.

• Governing law: these Terms are governed by the laws of the jurisdiction in which Voicommerce is established, excluding conflict-of-law rules. Mandatory consumer-protection laws of the country in which you reside continue to apply where required.
• Force majeure: neither party is liable for delay or failure to perform caused by events beyond its reasonable control (e.g. natural disasters, war, strikes, outages of upstream providers).
• Assignment: you may not assign or transfer these Terms without our prior written consent. Voicommerce may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
• Entire agreement: these Terms, together with our Privacy Notice and Refund Policy, form the entire agreement between you and Voicommerce regarding the Service.
• Changes: we may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date and, where appropriate, by notifying active customers by email.
